COMPETITION & ANTITRUST

A sphere of business to which we pay a particular attention is competition domain, or more precisely the prevention and combat of specific practices of unfair competition. In accordance with the actual legislation, we are able to offer our clients a wide spectrum of services in a continuous optimization related to socio-economic reality, whose implementation would highlight the most viable solutions for the protection of customers or potential investors in relation to anti-competitive practices.

In this regard, along with our partners, through our services we focus on:

Investigations and legal aspects of daily activity

conducting of specific evaluations to ensure that their activities do not violate the rules of competition or in order to avoid the risk of becoming victims of anti-competitive practices;
providing legal assistance during and after the unannounced checks (down-raids), the drafting and implementation of the Internal Regulations Policy for our clients companies regarding the adoption of certain policies for the management of specific situations of competition;
legal advice, assistance and representation in relations with the Competition Council during any control procedures started by this institution, as well as drafting complaints over the investigation reports prepared as a result of these checks;
legal assistance for our clients in order to meet the conditions for eligibility to take advantage of clemency policy practiced by the Competition Council;
legal assistance for our clients in order to meet the eligibility conditions to take advantage of clemency policy practiced by the Competition Council;
providing legal advice to investors following the evaluation of the legal framework.

Authorisation of mergers

counselling, assistance and representation in carrying out necessary inquiries in order to obtain approval from competition authorities in the early phase of a merger and/or under investigation performed by those authorities during merger procedures, with the aim of providing a completed transaction in accordance with the provisions of the legislation in force in this field;
legal assistance for the purpose of obtaining exemptions from individual arrangements which might fall within the scope of the restrictions provided by the laws of competition;
review and optimize commercial and transactional mechanisms, in order to fulfill the requirements of the Romanian legislation and the legislation of the European Union in this area.

Social security

checking and making the necessary arrangements in order to meet the conditions required to qualify for State aid, under schemes provided by the legislation in force, or for an ad hoc state aid;
identifying and implementing the best strategies for action when there is any suspicion that a competitor has benefited fraudulently or has abused State aid;
legal assistance during the stage of monitoring State aid.
