This area has become increasingly larger and more complex, subject to substantial improvements as a consequence of continuous legislative evolutions in both national law system and in the European Union’s. Through our services we manage the entire sphere of legal issues which occur in employment relationship and in labor law enforcement, mainly looking to prevent them or providing our clients best decisions that comply with effective legal provisions and related practices and policies in the area of labor law.
Individual employment contract
- draftinging, improving, suspending individual labor contracts and all their addenda thereto, including the job description;
- drafting special terms and inserting them in labor contracts including but not limited to non competition terms, confidentiality terms, deployment/redundant terms;
- preparing the required documentation for de termination of employment contracts;
- legal advising on restraining the termination possibilities of the labor contract;
- legal advising and assinstance in concluding mutual agreements of both the employees and the members of the company management;
- drafting decisions/resolutions and notifications of the company’s management;
- legal counseling and assistance in the negotiation of employee compensation and benefits wage, for employees who occupy senior positions.
General aspects of employment
- drafting or modifying any terms inserted in mandate contracts which are signed between the company and it’s manager or CEO;
- drafting and providing practical solutions for the management of labor relations from company’s daily activity: hiring, management and payment of salaries and bonuses, over time recording, sick-leaves or vacations registration, aspects of social dialogue, staff training, including the implementation of outsourcing services H.R.O. type;
- drafting or modifying of regulations and rules of internal procedure, as well as the procedures applicable at the level of the employer;
- legal assistance and representation in dealings with the control authorities such as County Labor Inspectorate, County Pension House, County Health Insurances House, Departments of the National Tax Administration Agency and other competent authorities.
Collective labor agreements
- drafting or modifying the collective labor contracts;
- advising and assisting clients in the negotiation and enforcement of collective labor agreements, as well as in dispute settlements that arise during their execution;
- advising and assisting clients in relations with trade unions or employees’ representatives in matters of collective bargaining, strikes, maternal or parental child-care leave, labor programs and litigation arising from discrimination in employment relationships;
- counseling for choosing the members of the special Committee on the structure of negotiations regarding the representation of employees in the establishment of the European Council of labor or other procedures for the involvement of employees in the affairs of a Societas Europaea (European companies).
Individual and collective dismissals
- drafting legal documents necessary for termination of employment relationships and following the legal steps of the suspension or dismissal procedures;
- drafting complaints of suspension or dismissal decisions;
- assisting the company’s board in negotiations with the trade unions concerning conditions of dismissal;
- performing legal analysis regarding the dismissal procedure.
Restructuring programs
- elaborating and implementing of restructuring strategies;
- counseling clients in the process of restructuring carried out in the framework of the procedures for mergers and acquisitions, or at the stage of a business reorganization;
- advising and assisting management departments in implementing the restructuring programs, while ensuring compliance with the provisions of the collective labor contract of the company;
- drafting the detachment agreement for the employees who will be detached in case of a specific outsourcing services;
- legal counseling and assistance regarding the rights of the personnel took over in the wake of a business transfer, as well as drafting the transfer documents;
- drafting the conventions or agreements for hiring employees.
Workforce expatriation agreements
- legal counseling in matters of legal regulations and requirements regarding the workforce expatriation, including aspects of the arrangements for persons’ settlement (residence permits), work permits, visas and formalities required for professional activity of the foreign individuals on Romanian territory as well as Romanian individuals professional activity in the foreign States.
Health and safety at work
- advising on matters relating to labor law-specific legal provisions for the investigation of work accidents, employers’ obligations regarding their specific field of activity in relation to the rules of safety and health at workplace, the establishment and operation of the commissions of health and safety at work.
Social security
- advising employers on taxes, pension scheme, the benefits recognized by social security law during the period of maternity leave or during the period of temporary incapacity for work.
